帮朋友问一下。
朋友准备从美国带回新的技术和商业模式。打算和国内一个在同行业比较大的成熟企业合作，共同建一个新的公司。这个新公司将会帮助成熟企业更好的在市场上竞争，同时自己也会独立成长。
这种情况下利益如何分配？
各方带来的value:
朋友：新的技术(including system design and a Proof of concept)和商业模式。setting up and run the company (engineering, implementation, support, sales, marketing teams and business processes). Btw US$200k - 300k angel investments from other people in US
成熟企业：expertise in the industry, US$ 300k - 400k investments, initial customers
US Angel investors: US$200k - 300k
potential chinese investors: more angel money
还有一个advisor想出了这个合作的点子并把朋友介绍给成熟企业的CEO. The Advisor is also a very close friend of the CEO. He also has plenty of connections to high level people in the industry, can play am important role in acquiring new customers and getting first round of VC.
How should my friend divide shares among them?
My friend's thoughts:
initial ideas and technologies: $1M
value from 成熟企业 (excluding investments): $500K
Total: $1.5M
Taken into account investments from US Angel $300k and 成熟企业 $400k, total worth $2.2M
Shares:
My friend: 1/2.2=45.5%
成熟企业: (0.5 + 0.4)/2.2=40.9%
US Angel: 0.3/2.2=13.6%
The question is the advisor, he won't join the company but will play an important role, how does my friend compensate him? 5% of the shares? some other way?
